Savonlinna Kulttuurikellari ry's Rules

§ 1 Name and domicile of the association

The name of the association is Savonlinna Kulttuurikellari ry and its home is Savonlinna.

§ 2 Purpose and operation of the association

The purpose of the association is to bring together individuals and communities who are interested in the development of communal cultural activities in Savonlinna. In order to fulfill the purpose, Savonlinna Kulttuurikellari ry maintains a rented multi-purpose hall at Olavinkatu 34, 57130 Savonlinna.

The aim of the association is to promote the activity opportunities of different cultural actors and create conditions for their cooperation. The association can hand over the multi-purpose hall it rents to different cultural actors and collect a fee for using the space. The board decides on possible space usage fees. The association can also organize various events.

​

In order to support its activities, the association can receive donations and bequest funds, as well as carry out licensed lotteries, fundraisers and other activities intended for the acquisition of funds. If necessary, the board of the association can also take out a loan to secure operations.

§ 3 Association members

Members of the association can be registered associations and other legal entities as well as private individuals. Membership is approved by the board of the association.

Each member has one vote at the association's meetings.

§ 4 Membership fee

At its meeting, the annual meeting decides on the annual membership fee to be collected from members and supporting members.

​

§ 5 Board of the association

The task of the association's board is to take care of the statutory duties according to the Association Act and to decide on other matters of the association. The association's annual meeting elects the chairman of the board and 3-7 regular members and, if necessary, 1-3 alternate members. The term of office of the board is two years. The board chooses a vice-chairman and the necessary officials from among themselves.

The board appoints possibly necessary committees operating under it and chooses their chairpersons and members.

§ 6 Legality and quorum

The board meets at the invitation of the chairman or, in his absence, the vice chairman, when there is a need or at least half of the board members require it. The board is legal and quorum when the chairman or vice-chairman and at least half of the other members are present. Majority decisions are followed in the voting and in the event of a tie, the vote of the chairman is decisive, in elections, however, a lottery.

§ 7 Writing the name of the association

The name of the association is written by the chairman or vice-chairman of the board, alone. In addition, a person who has a personal right granted by the board has the right to write the association's name.

§ 8 Accounting period and operational audit

The association's accounting period is a calendar year. The financial statement with the necessary documents must be given to the selected auditor no later than one month before the association's annual meeting. The operational auditor must give his written statement to the association's board no later than two weeks before the association's annual meeting.

§ 9 Association meetings

The association's annual meeting is held annually on a date determined by the board by the end of May of each operating year.

An extraordinary meeting is held when the association's meeting so decides or when the board deems it necessary or when at least one-tenth (1/10) of the association's voting members require it for a matter specifically announced by the board. The meeting must be held within thirty days of the request to hold it being submitted to the board.

At the association's meeting, each member has one vote. Unless otherwise specified in the rules, the decision of the association's meeting shall be the opinion supported by more than half of the votes cast. In the event of a tie, the vote of the chairman of the meeting decides the vote, in the case of elections, a lottery.

§ 10 Convening of the association's meetings

The board must convene the meetings of the association at least fourteen days before the meeting by means of a letter sent to the members by e-mail or in a newspaper published in the domicile of the association.

§ 11 Annual meeting of the association

The following matters will be discussed at the association's annual meeting.

​

1. Opening of the meeting

2. The meeting's chairman, secretary and two minutes inspectors and, if necessary, two vote counters are elected.

3. The legality and quorum of the meeting are confirmed

4. The agenda of the meeting is approved

5. The financial statements, annual report and the auditor's statement are discussed

6. The financial statements are confirmed and the board of directors and those responsible for the accounts are released from liability

7. Confirm the action plan, income and expenditure estimate, and decide on membership and support fees

8. The chairman and members of the board are elected (see 5§)

9. An operations inspector and a deputy inspector, if necessary, are selected

10. Let's discuss other possible issues

If a member of the association wants to have something discussed at the meeting of the association. he must notify the board in writing of this in good time so that the matter can be included in the meeting notice.

§ 12 Changing the rules

The decision to change the rules must be made by a majority of at least three quarters (3/4) of the votes cast at the association's meeting.

The meeting invitation must mention the amendment of the rules.

​

§ 13 Dissolution of the association

The decision to dissolve the association must be made by a majority of at least three quarters (3/4) of the votes cast at the association's meeting.

The meeting invitation must mention the dissolution of the association.

​

When the association dissolves, the association's funds are used to promote the purpose of the association in the manner determined by the meeting deciding on the dissolution. When the association becomes liquidated, its assets are used for the same purpose.
